These Terms of Service (“Terms”) govern your access to and use of OneClickGrants.com (“we,” “us,” or “our”). By visiting or using our website and services, you agree to be bound by these Terms (including the arbitration provision below). If you do not agree, do not use our services.

By creating an account, submitting grant applications, or making payments on OneClickGrants.com, you agree to these Terms and our Privacy Policy. We may modify these Terms at any time; continued use after posting constitutes acceptance.

2. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts under California law. By registering, you represent and warrant you meet these requirements.

3. Account Registration

- Account Information: Provide accurate, current, and complete information.

- Security: Protect your login credentials. Notify us immediately of any unauthorized use.

4. Services & Grant Applications

- Scope: We provide an online platform for preparing, submitting, and managing grant applications.

- Your Responsibility: You alone are responsible for the content you upload or submit.

- No Funding Guarantee: We facilitate submissions; approval and funding decisions rest with grantors.

5. Payment Terms

- Fees: Use of certain features may incur fees, disclosed before you incur them.

- Payment Method: Payments (including ACH Direct Debit) are processed by Stripe. By providing payment details, you authorize charges for fees incurred.

- Refunds: Unless otherwise stated, fees are non-refundable once services are rendered.

6. User Conduct

You agree not to:

- Violate applicable laws or regulations.

- Impersonate others or misrepresent affiliations.

- Interfere with platform security or functionality.

- Upload malware or malicious code.

- Harvest or collect other users’ data without consent.

7. Intellectual Property

- Our Content: All site content (text, graphics, logos, software) is owned or licensed by us and protected by copyright, trademark, and other laws.

- Your Content: You retain ownership of materials you submit, granting us a worldwide, royalty-free license to use them for service provision.

8. Disclaimers

- No Warranty: THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.

- Third-Party Links: We may link to external sites; we are not responsible for their content or practices.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ONECLICKGRANTS.COM OR ITS AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless OneClickGrants.com and its officers, directors, employees, and agents against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your use of the platform.

11. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including your violation of these Terms. Upon termination, your rights to use the platform cease immediately.

12. Governing Law & Venue

These Terms and any disputes shall be governed by the laws of the State of California, without regard to its conflict-of-law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California.

13. Arbitration & Class Waiver

Except for small claims or where prohibited, you and we agree to resolve disputes by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. You waive any right to a jury trial and to participate in class or representative actions.

14. Severability

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OneClickGrants.com concerning the platform and supersede all prior agreements.
